Sound System Engagement Agreement
This Sound System Engagement Agreement for the supply of Black One Sound, described below made this 25th day of MARCH, 2005, between the undersigned “Purchaser” and “Sound” to appear and the undersigned “Sound” and “Purchaser” to fulfill respective obligations as described below, as independent contractors.
The Purchaser hereby engages the Sound and Sound hereby agrees to appear at the respective “Event” hereinafter provided with all of the terms and conditions herein setforth including those entitled “Additional Terms and Conditions:”

All payments shall be paid by bank deposit/wire, certified check, money order, or cash by the Purchaser to and in the name of:

6. RIDER: Purchaser shall supply to Sound all requirements as established in Artist’s rider or equipment requirements list.
7.
FEE: In consideration of the rights granted to
Purchaser hereunder, Purchaser hereby agrees to pay the sum of ELEVEN HUNDRED
and no cents ($1,100.00) (The “Fee”).
Fifty percent (50%) of the fee shall be payable upon execution of this
agreement. The remaining fifty percent
(50%) of the fee shall be payable as soon as possible (ASAP), prior to

CONTROL: The purchaser shall at all times have
complete control, supervision, and direction over the venue where the Sound is
asked to appear and accepts complete liability for any activity and subsequent
consequences. The Purchaser expressly
reserves the right to control the manner, means and details of the Event as
well as the
ends by which to be accomplished. The
Purchaser, or their agent, shall enforce disciplinary measures for just cause,
and carry out instructions as to the selection of the venue and manner of
operation. In the event the Purchaser
refuses or neglects to perform any of
its obligations herein stated, and/or fails to make payment as provided herein,
Sound shall have the right to refuse to cause the Sound to appear at the Event
and shall retain any amounts therefore paid.
9.
SOUND
OBLIGATION: The Sound shall appear
at the Event, as requested, and remain for no less than one (1) hour. The expiration of the hour shall commence
upon the arrival of said Sound at the venue.
The requested sound, per the rider, is as follows:
Drum set full …
Bass Amp – preferably Hakie
Guitar Amp – preferably Roland
Keyboard stand – holds 3 keyboards + 1 extra (equals 4 keybords)
Four DI (box that has 4 inputs, connects keyboard)
Microphone for all the drum set (for each individual drum, microphone)
Microphone for Glen and backing vocal
Bass amp has to be on the left hand side of the drum set
Keyboard on right hand side as well as guitar – of the the drum (drum
in the middle)
Front stage sound (4 x 18”subs, 2 tops)
6 stage monitors
Mic stands
The Sound will be installed and checked prior to the band sound
check. The sound will stay in place
until the determined termination of the Event.
An on-site engineer will remain to provide re-inforcement services
during said Event.
10.
CONTRACT: This contract constitutes the sole, complete,
and binding agreement between the Purchaser and the “Sound.” Sound, his
employees and representatives assume NO responsiblity or liability as between
the Purchaster, the Sound or respective venue.
Nothing herein contained shall create any association, partnership or
joint venture between the parties; it is understood that each party is
performing its obligations as an independent contractor.

This
Agreement is intended to be fully binding on all the parties hereunder provided
this Agreement shall not become effective until formally approved by signature
of the Sound representative which must occur within two (2) business days from
the date hereto and executed by all parties listed. It is contemplated that this Agreement between
the parties containing additional terms and conditions customarily contained in
agreement of this type (e.g. rights to secure life insurance, indemnities,
conduct clauses, protection of trademark, reasonable notice and cure
provisions, where appropriate, etc.), all of which shall be negotiated in good
faith. Provided, however, that until
such more detailed agreement is executed, this Agreement shall remain in full
force and effect after the approval of the Sound.
